Terms and Conditions of Service

These Terms and Conditions of Service (hereinafter, "Terms") govern the access and use of the cloud platform Ministrium (hereinafter, "the Platform", "the Service", or "Ministrium"), operated by Ministrium Inc. (hereinafter, "the Company", "we", or "our"). By creating an account and/or using the Service, the Client accepts these Terms in full.
Article 1 — Acceptance of the Terms
1.1. By creating an account, the church, ministry, or organization (hereinafter, "the Client") expressly and irrevocably accepts all the terms and conditions set forth in this document.
1.2. If the Client does not agree with any provision of these Terms, they must immediately cease using the Platform and refrain from creating an account.
1.3. Ministrium reserves the right to modify these Terms at any time. Substantial modifications will be notified to the Client at least 30 calendar days in advance via email and/or notification within the Platform. Continued use of the Service after such notice constitutes acceptance of the modified Terms.
Article 2 — Description of the Service
2.1. Ministrium is a cloud Software-as-a-Service (SaaS) platform that provides an integrated Operating System for Churches and Ministries, including, but not limited to, the following functionalities:
- Congregation member management (CRM).
- Multi-campus organizational structure management (Global Ministry, Districts, Zones, and Life Cells).
- Financial engine for tithes, offerings, donations, and tax reporting.
- Artificial Intelligence features (AI CoPilot) for analysis, reports, and automated communications.
- Attendance, events, and church calendar management.
2.2. The Service is provided "as is" and "as available." Ministrium continuously strives to improve and expand its functionalities but does not guarantee that all features will be available at all times or in all jurisdictions.
Article 3 — Accounts and Responsibility
3.1. Account Security. The Client is solely and exclusively responsible for maintaining the confidentiality of their access credentials (usernames, passwords, API tokens). Ministrium shall not be liable for unauthorized access resulting from the Client's failure to adequately protect their credentials.
3.2. End User Data. The Client acknowledges and accepts that they are the Data Controller of all personal information of their members (End Users) uploaded to the Platform. In this regard, the Client warrants and represents that:
- They have obtained the free, informed, and express consent of each member before uploading their data to Ministrium.
- They comply with all applicable data protection regulations (GDPR, CCPA, and local laws) regarding the processing of such personal data.
- They will indemnify and hold Ministrium harmless from any claim, sanction, or liability arising from the improper collection or processing of End User personal data.
3.3. Accuracy of Information. The Client is responsible for ensuring the accuracy, completeness, and currency of the data entered into the Platform.
Article 4 — Subscriptions and Payments
4.1. Access to the Service requires an active paid subscription. Ministrium offers monthly and annual billing plans, the terms and pricing of which are detailed on our pricing page and/or the corresponding commercial agreement.
4.2. Non-Refundable Fees. All fees paid are non-refundable, including, but not limited to, recurring subscription payments, one-time setup fees, and any additional charges for premium services. The Client understands and accepts this condition prior to any payment.
4.3. Suspension for Non-Payment. Ministrium reserves the right to suspend or restrict access to the Service in the event of late or defaulted payments. Suspension shall take effect after 15 calendar days of notice without the arrears having been settled.
4.4. Price Changes. Ministrium reserves the right to modify its prices with at least 60 days' prior notice. Changes will apply from the next billing cycle following the notice.
Article 5 — Acceptable Use
5.1. The Client agrees to use the Platform exclusively for its intended purposes: the legitimate management of religious, administrative, and financial operations of their church or ministry. The following activities are expressly prohibited:
- Any illegal activity or activity contrary to applicable local, national, or international laws.
- Sending unsolicited bulk messages (spam) through the Platform's communication tools.
- Use of the Platform for money laundering, terrorist financing, or any activity related to illicit financial flows.
- Uploading, distributing, or storing malicious content, including malware, viruses, scripts, or any material designed to compromise the integrity of the Platform or third parties.
- Attempting to gain unauthorized access to systems, accounts, or data belonging to other clients of the Platform.
- Using the Platform to discriminate, harass, or threaten any individual or group.
5.2. Violation of these provisions may result in the immediate and permanent termination of the account, without the right to a refund and without prejudice to any legal actions Ministrium may bring.
Article 6 — Service Availability (SLA)
6.1. Ministrium endeavors to maintain the Platform available 24 hours a day, 7 days a week, with a target uptime of 99.9% for Enterprise plans. However, access to the Service is provided on a "Best Effort" basis.
6.2. Ministrium shall NOT be liable for service interruptions, outages, or unavailability caused by:
- Failures, outages, or scheduled maintenance of third-party infrastructure providers (including, but not limited to, AWS, Vercel, Supabase, Stripe, or any other subcontracted provider).
- Force majeure events (natural disasters, pandemics, wars, government actions).
- Scheduled maintenance, which will be notified at least 48 hours in advance whenever possible.
- Accidental data loss attributable to technical factors beyond the Company's reasonable control.
- Failures in the Client's internet connectivity or equipment.
6.3. In the event of planned interruptions, Ministrium will make reasonable efforts to schedule them during low-activity hours and to minimize their duration.
Article 7 — Limitation of Liability
7.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINISTRIUM, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Loss of revenue, income, or profits (including loss of tithes, offerings, or donations).
- Indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform.
- Loss of data, unless caused by Ministrium's gross negligence or willful misconduct.
- Damages arising from the actions or omissions of third-party providers.
7.2. In any event, Ministrium's total aggregate liability to the Client for any claim related to these Terms or the Service shall not exceed the total amount paid by the Client to Ministrium during the twelve (12) months immediately preceding the event giving rise to the claim.
7.3. This limitation of liability is a fundamental element of the agreement between the parties and shall survive termination or expiration of these Terms.
Article 8 — Cancellation and Termination
8.1. Cancellation by the Client. The Client may cancel their subscription at any time from their Platform settings panel. Cancellation will take effect at the end of the current billing cycle, and the Client will retain access to the Service until that date. No refunds will be issued for the remaining period.
8.2. Termination by Ministrium. Ministrium reserves the right to suspend or permanently terminate the Client's account under the following circumstances:
- Violation of any provision of these Terms, particularly Article 5 (Acceptable Use).
- Persistent non-payment (more than 30 calendar days in arrears).
- Activity that jeopardizes the integrity, security, or reputation of the Platform.
- Court order or requirement from a competent authority.
8.3. Post-Termination Data. After cancellation or termination, the Client will have a period of 30 calendar days to request the export of their data. After this period, Ministrium reserves the right to permanently delete all data associated with the account.
Article 9 — Intellectual Property
9.1. All intellectual property rights over the Platform, including its source code, design, trademarks, algorithms, and documentation, belong exclusively to Ministrium Inc.
9.2. The subscription does not grant the Client any ownership rights, license, or transfer over Ministrium's intellectual property, beyond the limited, non-transferable, and revocable right of use granted by these Terms.
Article 10 — Governing Law and Dispute Resolution
10.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
10.2. Any dispute arising from or in connection with these Terms shall be submitted first to a good-faith mediation process. If mediation fails, the dispute shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA).
Article 11 — General Provisions
11.1. Severability. If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.2. Entire Agreement. These Terms, together with the Privacy Policy and any applicable commercial agreement, constitute the entire agreement between the parties.
11.3. No Waiver. Ministrium's failure to exercise any right or provision of these Terms shall not constitute a waiver of such right.
